Terms of Business
After Dinner Speakers & Comedians Ltd will be referred from now on as Ads ltd,.
The two legally bound parties in this contract are the Hirer, (referred to as The Hirer or The Management) and the person being hired, (referred to as The Artiste(s)).
It is agreed that unless stated otherwise the Hirer will provide a suitable sound system for use by the Artiste(s). If the Artiste(s) is to provide own PA system, this must be discussed and agreed at the time of booking.
In the event of illness or accident, resulting in the Artiste(s) being unable to fulfil the engagement, Ads ltd or the Hirer must be contacted immediately, and any request for medical certificate or relevant report detailing the reason for the non appearance must be met. Ads ltd will endeavour to offer any comparable replacements where possible.
"Professional engagements permitting". This clause has to be included in the contracts of "personality" speakers as it is the only condition in which many of their employers (BBC, Sky, Professional Sports Clubs for example) will allow them to accept such engagements. We rarely have to invoke this clause however if the Artiste(s) does pull out at short notice, you have our assurance that a suitable replacement will be offered.
The engagement shall be considered null and void in the event of war, fire, strike, or lockout directly affecting the venue, or upon order of any Public Authority having jurisdiction over the venue, excepting the refusal to grant a liquor or public entertainment licence, unless a pending application was declared by the Hirer upon booking.
Payments shall be made as per the booking confirmation, either by cash or agreed cheque direct to Artiste(s) at the time of their performance, or by cheque via Ads ltd, in which case payment must be received 7 days prior to the date of performance, unless by prior written arrangement with Ads ltd. Any deposits must be sent within 14 days (or prior to the performance date - whichever is less), and are payable to After Dinner Speakers & Comedians Ltd. If a deposit is not received within these time frames, Ads ltd reserves the right to cancel the contract.
Once the contract has been accepted there is no provision for cancellation except for reasons described above, or by the mutual consent of both The Hirer and The Artiste(s). If such cancellation is agreed Ads ltd reserves the right to make a charge of 15% of the total fee detailed overleaf to the cancelling party in lieu of administrative costs for work done. Ads ltd agrees to return any deposits received in the event of cancellation by the Artiste(s).
Where an event is cancelled without mutual agreement, compensation charges may be made against the cancelling party to the total value of the fee agreed (less expenses not incurred), or negotiated as follows.
Cancellations made within 6 weeks of the event (not more than) 100% of total contracted fee
Cancellations made within 8 weeks of the event (not more than) 75% of total contracted fee
Cancellations made within 12 weeks of the event (not more than) 50% of total contracted fee
Cancellations made beyond 12 weeks of the event (not more than) 25% of total contracted fee
If the Artiste(s) cancels his performance without sufficient grounds as highlighted above, and without the agreement of the Hirer, it is agreed that the Hirer may wish to seek compensation from the Artiste(s) should such a claim be substantiated.
Where Ads ltd acts as an employment agency, we wish to make it perfectly clear that Ads ltd cannot be held responsible should either the Hirer or the Artiste(s) break the terms of this contract.
It is accepted that live recording of any part or whole of the Artiste(s) performance shall be prohibited unless by prior written agreement with Ads ltd.
Ads ltd advises both Artiste(s) and Hirers to hold suitable Public Liability Insurance. Equipment safety documentation will be available for view where the Artiste(s) is providing any electrical equipment.
Where VAT is payable to the Artiste(s), the client may withold that element of the fee unless a suitable VAT invoice has been presented.
For the treatment of Income Tax and National Insurance, all Artiste(s) booked are deemed self employed.
Should either Artiste(s) or Hirer believe that the contract does not reflect the terms of the agreement made, they should notify Ads ltd in writing within 10 days (and prior to the engagement taking place) of the date of this agreement, otherwise a contract as per these terms will be deemed to exist. Where the contract includes multiple bookings on the same sheet of paper, each booking shall be treated as a separate agreement between the relevant Artiste(s) and Hirer, and be subject to the same terms contained herein.
In addition to these terms, many celebrity speakers will issue their own terms which may include rider requirements, payment and cancellation terms, video recording or the show and appropriate marketing of their services. You should request a copy prior to booking.
